1. Overview

These Terms of Service govern your use of Megapodes across our offerings: Self-Hosted (licensed deployment), Cloud (managed hosting), and Enterprise. Megapodes is provided by Megapodes Technologies Pvt. Ltd. (update with exact registered legal name), a company incorporated under the laws of India, serving customers globally. By using Megapodes, you agree to these terms.

2. Commercial License

Megapodes is commercial, proprietary software. It is provided under a subscription or enterprise license agreement (EULA/MSA), not an open-source license. Self-hosted deployments are licensed for use on your infrastructure; the software remains our intellectual property and is not open source.

• Subscription and enterprise licenses: Your rights to install, run, and use the platform are defined by the applicable license agreement and order form.
• Evaluation licenses: 30-day evaluation licenses are available for qualified organizations. Evaluation use is limited to internal assessment of the platform.
• Restrictions: You may not redistribute, sublicense, resell, or make the software available to third parties, and you may not reverse engineer, decompile, or disassemble it, except to the extent such a restriction is prohibited by applicable law.
• Plugins: You may build plugins for use within your licensed deployments; distribution of plugins to third parties does not grant any rights in the underlying platform.

3. Cloud (Managed Hosting)

By subscribing to the Cloud plan, you agree to:

• Pay the monthly subscription fee as advertised on our pricing page.
• Use the service within the plan limits (10 apps, 50 users per workspace).
• Not abuse the service, including excessive API calls or malicious activity.
• Be responsible for content and data you upload.

We agree to:

• Cloud subscriptions are provided on a commercially reasonable availability basis; contractual availability commitments are available under enterprise agreements.
• Maintain data security per our privacy policy.
• Provide priority email support.
• Give 30 days’ notice before any price change.

4. Enterprise

Enterprise terms are governed by a separate enterprise agreement, including custom SLA, support terms, and data processing addendum. Contact us at enterprise@megapodes.com for details.

5. Acceptable Use

You agree not to:

• Use Megapodes for illegal activities.
• Attempt to bypass security controls, including PostgreSQL Row-Level Security (RLS), permissions, or the AI security boundary.
• Reverse engineer, decompile, or disassemble the software or the Cloud service, except to the extent such a restriction is prohibited by applicable law.
• Redistribute the software, or resell or white-label the Cloud service, without authorization.
• Upload malicious code via plugins or knowledge bases.

6. Data and Content

You retain all rights to data and content you create within Megapodes. You can export your application configuration at any time as versioned, signed bundles using the app portability feature, and Cloud customers can export their data at any time. We do not claim ownership of your data.

7. Plugins

Plugins may be developed by Megapodes, by customers, or by third parties; plugins not developed by Megapodes are the responsibility of their authors. Plugins are licensed under their own terms. We are not responsible for third-party plugin behavior, security, or compatibility. Plugin developers are responsible for their own plugins’ security and compliance.

8. Service Availability

For Cloud and Enterprise, we strive for high availability. Scheduled maintenance is announced in advance. We are not liable for downtime caused by factors outside our control (infrastructure provider outages, force majeure).

9. Termination

You may cancel your Cloud subscription at any time. Upon cancellation, your data remains available for export for 30 days, after which it is permanently deleted. Enterprise termination terms are governed by the enterprise agreement.

10. Limitation of Liability

Megapodes is provided “as is.” To the maximum extent permitted by law, we are not liable for indirect, incidental, or consequential damages, including data loss, business interruption, or loss of profits. For Cloud customers, liability is limited to the amount paid in the preceding 12 months.

11. Changes to Terms

We may update these terms from time to time. We will notify users of material changes via email or in-app notification. Continued use after changes constitutes acceptance.

12. Governing Law and Jurisdiction

These terms are governed by and construed in accordance with the laws of India. Subject to any dispute-resolution provisions in an applicable enterprise agreement, the courts at [City], India (update with registered jurisdiction) shall have exclusive jurisdiction over disputes arising out of or in connection with these terms.
